These Terms of Use (“Terms”) govern access to and use of the websites, sub-domains, pages, developer portals, documentation, downloads, and online services operated by Olive Robotics GmbH (“Olive Robotics”, “Olive”, “we”, “us”, “our”). By accessing or using the Site (defined below), you agree to be bound by these Terms.
Note: These Terms are not a sales contract for hardware or software; purchases are governed by Olive’s Terms & Conditions and any signed commercial agreement. These Terms apply to your use of the website and online materials only.
1. Parties; Acceptance
1.1 The “Site” means www.olive-robotics.com and any related pages, portals, and content controlled by Olive.
1.2 By using the Site, you represent that you (a) are at least 18 years old (or have legal capacity) and (b) have authority to bind your organization if you access on its behalf.
1.3 If you do not agree to these Terms, do not use the Site.
2. Definitions
“Content” means all text, drawings, CAD/STEP files, images, videos, logos, SDKs, binaries, APIs, sample code, whitepapers, datasheets, performance figures, benchmarks, and documentation on or linked from the Site.
“Products” means Olive hardware and software families, including without limitation olixSense™, olixVision™, olixLink™, olixDrive™, olixIO™, olixAI™, and olixOS™.
“User Content” means any material you submit to Olive via the Site (e.g., forms, feedback, comments, or uploads).
3. Scope of Services
3.1 The Site provides informational, promotional, and research-support Content related to Olive’s Products and ecosystem partnerships.
3.2 Olive may modify, suspend, or discontinue any aspect of the Site at any time without notice.
4. Changes to Terms
4.1 We may revise these Terms at any time. Changes apply when posted. Your continued use of the Site constitutes acceptance of revisions.
4.2 If there is a conflict between translated versions, the English version prevails.
5. Eligibility; Accounts
5.1 Certain areas may require creating an account. You must provide accurate information and keep credentials confidential.
5.2 You are responsible for all activities under your account and must promptly notify Olive of any unauthorized access.
6. Online Store; Orders
6.1 Listings, prices, availability, and shipping information displayed on the Site are invitations to treat and not binding offers.
6.2 Orders are governed by Olive’s Terms & Conditions (separate document) and any order-specific agreement. In case of conflict, the order-specific agreement prevails.
7. License to Use the Site
7.1 Subject to these Terms, Olive grants you a limited, revocable, non-exclusive, non-transferable license to access and display the Site and download publicly available Content solely for evaluation and planning related to Olive Products.
7.2 Except as expressly permitted, you may not reproduce, modify, distribute, publicly display, or create derivative works from the Site or Content.
8. Intellectual Property; Reservation of Rights
8.1 The Site and Content are protected by copyright, trademark, design, database, and other laws.
8.2 All rights in Olive™, olixSense™, olixVision™, olixLink™, olixDrive™, olixIO™, olixAI™, olixOS™, logos, product aesthetics, enclosure designs, PCB layouts, calibration processes, and documentation are reserved.
8.3 Nothing in these Terms transfers any intellectual property right to you.
9. SDKs, Binaries, and Developer Materials
9.1 Any SDKs, sample code, APIs, images, CAD/STEP, or binaries made available for download are licensed under their specific license terms provided with the download (which supersede this Section in case of conflict).
9.2 Unless a separate license states otherwise, such materials are provided “AS IS”, for evaluation and integration support, not for production or resale, and Olive has no obligation to maintain API/ABI stability or repository availability.
10. Open-Source and Third-Party Components
10.1 Content may reference or include FOSS or third-party components. Your use of those components is governed by the applicable third-party licenses, which you agree to follow.
10.2 Mention of third-party standards or marks (e.g., ROS, DDS, Linux, Arm®, USB Type-C®) does not imply endorsement or affiliation beyond documented licenses.
11. User Content; Feedback
11.1 You are solely responsible for User Content you submit and warrant that you have all rights necessary to grant the license below.
11.2 By submitting Feedback or suggestions, you grant Olive a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without attribution or compensation.
11.3 Olive may remove any User Content at its discretion.
12. Acceptable Use; Technical Restrictions
You agree not to:
(a) copy, scrape, spider, or systematically harvest the Site or Content;
(b) decompile, reverse engineer, or circumvent security controls, DRM, code signing, or secure boot mechanisms (except to the limited extent mandatory law permits);
(c) interfere with the Site’s operation, introduce malware, or probe/scan networks;
(d) use the Content to train foundation/large language models or competing datasets without prior written consent;
(e) use the Site to create competing products or to violate export, sanctions, or other applicable law.
13. Product Information; Non-Warranted Characteristics
13.1 Datasheets, latency/jitter figures, accuracy tables, and benchmarks are indicative reference values measured under controlled conditions.
13.2 Real-world results depend on host design, mounting geometry, EMI/EMC, thermal profiles, power quality, network topology, middleware, and calibration.
13.3 Nothing on the Site constitutes a guaranteed characteristic or durability warranty.
14. Safety-Critical Exclusions
Unless expressly certified in writing (e.g., IEC/ISO/DO standards), Products and Content are not intended for life-support, medical devices, human-rated aerospace, or other safety-critical use where failure could lead to injury, death, or severe damage. Integrators are solely responsible for system-level hazard analysis, FMEA, and certification.
15. Beta/Pre-Release Materials
Any beta, preview, or evaluation Content is provided “AS IS”, may be incomplete or inaccurate, and may be withdrawn without notice. Use is at your own risk.
16. Links and Third-Party Sites
The Site may contain links to third-party websites or resources. Olive is not responsible for their content, availability, or practices; access is at your own risk.
17. Privacy and Cookies
Use of personal data is governed by our Privacy Policy and Cookie Policy (DSGVO/BDSG/TTDSG). By using the Site, you consent to processing as described therein.
18. Export Control and Sanctions
You agree to comply with all applicable EU, German, and (where relevant) U.S. export control and sanctions laws. You represent that you are not a prohibited end user and will not use the Site or Content for prohibited end uses.
19. Compliance with Laws
You must comply with all laws and regulations applicable to your access and use of the Site and Content.
20. Indemnification
You will defend, indemnify, and hold harmless Olive, its affiliates, and personnel from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Content; (b) your violation of these Terms; or (c) your infringement or misappropriation of any right of a third party.
21. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OLIVE DOES NOT WARRANT THAT THE SITE OR CONTENT WILL BE ACCURATE, COMPLETE, ERROR-FREE, SECURE, OR UNINTERRUPTED.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OLIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, OLIVE’S AGGREGATE LIABILITY SHALL NOT EXCEED EUR 100.
23. Force Majeure
Olive shall not be liable for any delay or failure due to causes beyond its reasonable control, including acts of God, power failures, labor disputes, pandemics, regulatory actions, or supply constraints.
24. Suspension; Termination
We may suspend or terminate your access to the Site at any time, with or without cause or notice. Upon termination, the licenses granted to you terminate immediately and you must cease use and delete downloaded Content.
25. Assignment
You may not assign or transfer these Terms without Olive’s prior written consent. Olive may assign these Terms to an affiliate or successor without notice.
26. Severability; No Waiver
If any provision is found unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions remain in full force. A failure to enforce any right is not a waiver.
27. Entire Agreement; Order of Precedence
These Terms constitute the entire agreement regarding Site use. For purchases, Olive’s Terms & Conditions and any signed agreement prevail over these Terms if there is a conflict.
28. Governing Law; Venue
These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-laws rules. Exclusive venue is the courts of Munich, Germany. Olive may seek injunctive or equitable relief in any competent jurisdiction to protect IP.

These Terms are drafted in English. Translations are for convenience only; the English version controls.
